Connected Loans Pty Ltd (ACN 82 632 901 734) trading at Elevate365.ai and its subsidiaries (“Elevate365.ai,” “we,” “us,” or “our”) provide software applications for visibility and analytics into workforce productivity.

Elevate365.ai offers its Service to you in accordance with the following Terms of Service (the "Terms").

Acceptance of Terms

By accessing or using this Service, you confirm that you acknowledge, accept, and agree to all the terms of service, including our acceptable use policy and privacy policy. If you do not agree with any part of these policies, please refrain from using or accessing the Service.

If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Billing, Subscription Plans and Termination

We offer various subscription plans for the Service. Detailed information regarding the features and pricing of each plan can be found on our website. By selecting a subscription plan, you agree to pay the subscription fees as specified in the plan you choose.

The initial subscription term of this Agreement will be specified and mutually agreed upon by the parties in the Order Form. If you place an order for the Service via an online registration page or order form (each referred to as an “Order Form”), that Order Form may include additional terms, conditions, and information specific to the Service you are ordering.

Upon the conclusion of the initial subscription term, all your Elevate365.ai subscriptions (including any additional subscriptions added to your account) will automatically renew for a term equal to the last subscription term.

You can cancel the subscription under License and Billing before the renewal period. You must also reduce the number of assigned licenses to users  before cancelling the subscription. There will be no refund and when you reduce the number of licenses you require this will be effective immediately.

If you remove the license assigned to a user, then we are not obligated to keep their data and we reserve the right to delete their data.

If you require no licenses, then you are deemed to be terminating the service and we require that you cease all use of the Service, and all rights granted to you under this Agreement will end;

Upon your written request, we will provide your data for download or export within 7 days of termination. After this period, Elevate365.ai has no obligation to retain your data or make it accessible and may delete any of your Content.

If the Agreement is terminated due to an uncured breach by Elevate365.ai, we will refund the remaining Subscription Fees for the duration of the Subscription Term.

Thereafter, Elevate365.ai will be under no obligation to maintain your data, or make it available to you and we may delete any or all your Content.

Elevate365.ai reserves the right to change the License Fees for the Service under any Order Form, effective upon the commencement of the next renewal subscription term for the relevant Order Form(s). You will be notified of any changes in writing at least 7 days before the end of the current Subscription Term.

User Content

You acknowledge that all information, data, text, sound, photographs, graphics, video, software, or other materials that you submit, post, or display on or through the Service (“User Content”) are solely your responsibility. Elevate365.ai does not claim ownership or control over any User Content. By submitting, posting, or displaying User Content on or through the Service, you grant Elevate365.ai a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, and adapt that User Content to provide the Service to you. If you submit, post, or display User Content intended for sharing or public availability, you also grant Elevate365.ai a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute, and publish that User Content through the Service and for promotional purposes related to Elevate365.ai and its services.

As a condition of using the Service, you agree not to infringe upon the intellectual property rights of others in any manner. You represent that you have the rights necessary to grant the above license or that any rights holders, including moral rights, have waived those rights and granted you the authority to do so. If you post User Content in any public area of the Service, you permit other Users to access, display, view, store, and reproduce that User Content for personal use.

Subject to the above, the owner of User Content retains all rights that may exist in that content. Elevate365.ai reserves the right to review, reject, or remove any User Content at its sole discretion. Additionally, Elevate365.ai may expel Users and prevent future access to the Services for violating these Terms or applicable laws, rules, or regulations. Elevate365.ai may take any necessary or appropriate actions regarding User Content if it believes that such content could lead to liability for Elevate365.ai or damage its public image or business.

It is our policy to terminate the accounts of Users who are repeat infringers of copyrights or other intellectual property rights. Any profile you create must accurately represent you as an individual, or as an agency or organization you are authorized to represent. Profiles generated from User Content may be accessible through the Service. Elevate365.ai does not guarantee the accuracy or validity of these derived profiles, which may differ significantly from the original User Content.

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which outlines how we collect, use, and protect your information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

Warranty

You expressly acknowledge and agree that your use of the service is at your own risk. Elevate365.ai does not warrant that the service will meet your requirements, that it will operate without interruption or error, or that any defects will be corrected. therefore, you should not rely solely on the service for any purpose. The service and any related content are provided "as is" and "as available," with all faults, and without any warranty of any kind. Elevate365.ai hereby disclaims all warranties and conditions regarding the service and any related content, whether express, implied, or statutory. This includes, but is not limited to, implied warranties and/or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. No oral or written information or advice provided by Elevate365.ai or its authorized representative shall create a warranty.

Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
